Effective date: October 13, 2026. For accounts created before October 13, 2026, the previous version (effective October 3, 2026) remains in effect until November 12, 2026.
These Terms of Use ("Terms") govern your access to and use of the Sciometa restaurant management ecosystem, including our Point of Sale (POS) applications, Kitchen Display Systems (KDS), Kiosk Self-Order System (KSO), Table Order System (TOS), Server Display Systems (SDS), and web applications (collectively, the "Services") provided by Sciometa Oy ("Sciometa", "we", "our", or "us").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
By creating an account, downloading our applications, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
These Terms constitute a legally binding agreement between you and Sciometa. We may update these Terms from time to time, and your continued use of the Services after such updates constitutes your acceptance of the new Terms.
Sciometa provides a comprehensive restaurant management ecosystem that includes:
Our Services are designed to help restaurants streamline operations, manage orders, process payments, and improve overall efficiency.
To use our Services, you must create an account and provide accurate, current, and complete information. You are responsible for:
You must be at least 18 years old to create an account and use our Services. If you are creating an account on behalf of a business, you represent that you have the authority to bind that business to these Terms.
You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:
We reserve the right to suspend or terminate your access to the Services if you violate these terms.
Some of our Services require payment of fees. By using paid Services, you agree to:
Fees are generally charged in advance and are non-refundable except as required by law or as specifically stated in your subscription agreement.
Platform Transaction Fees:
For online payments processed through the Table Order System (TOS), Sciometa charges a platform fee as a percentage of each transaction amount. This fee is automatically deducted from the payment before the remaining balance is transferred to your connected payment account. The applicable fee percentage is disclosed in your subscription plan or service agreement. This platform fee is separate from any fees charged by the payment processor (Stripe).
We may change our pricing, including platform transaction fee rates, with 30 days' advance notice. If you do not agree to price changes, you may cancel your subscription before the changes take effect.
Gift Card Fees:
Any fees relating to the Gift Card Feature are fees for software and services that we invoice to you separately, as a business-to-business supply, in addition to your subscription. Such fees are never deducted from the face value, purchase price, or balance of a gift card, and we do not take any share of gift card proceeds. Gift card proceeds are received by you in full, in your own account.
Gift card fees are variable and we may introduce or change them. The rate currently applied is zero unless your service agreement states otherwise. We reserve the right to introduce a gift card fee, and to change the rate, basis, and structure of any such fee — including charging a fee calculated as a percentage of the value of each gift card sold, accrued at the time of each sale, charging a fixed amount per gift card issued, charging different rates for cards sold in person and online, applying minimum or maximum amounts, and making the fee dependent on your subscription plan. A fee accrued at the time of a sale is still invoiced to you separately in arrears under the preceding paragraph; it is not withheld from the gift card proceeds.
We will give at least 30 days' advance notice before introducing a gift card fee or increasing an existing rate, and if you do not agree you may stop using the Gift Card Feature or cancel your subscription before the change takes effect. Any change applies only to gift cards sold on or after its effective date and is never applied retroactively: the rate applicable at the time of each sale is recorded with that sale, and that recorded rate governs what is invoiced for it. Fees for physical gift card stock, where ordered, are charged per unit at our then-current prices.
Domain Registration Services:
Where we register or renew an internet domain name on your behalf, the domain is registered in your name and remains your property. Domain fees are billed yearly in advance and are non-refundable once the domain has been registered, renewed, or a transfer has been initiated with the registry, as these costs are incurred by us immediately and irrevocably. Because domain pricing depends on fees set by third-party registries and registrars, the yearly renewal price of a domain may change to reflect changes in those underlying fees. We will notify you at least 30 days before a changed renewal price takes effect; if you do not agree, you may cancel the domain subscription and, on request, receive the transfer authorization code to move the domain to a provider of your choice. If you cancel a domain subscription, the domain remains registered to you until its current expiry date and will not be renewed thereafter.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You retain ownership of your business data that you input into our Services.
License Grant:
You grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze such data solely for the purpose of providing, maintaining, improving, securing the Service, and complying with legal obligations.
Aggregated Statistics:
We may create aggregated and anonymized statistics from data processed through the Services — for example, reservation counts, guest counts, and reservation times, and usage statistics of Service features such as shift management (for example, the number of active users) — in a form that does not identify you, your business, your customers, or your employees. We may use and publish such statistics to operate, improve, and market our Services, for example as averages across multiple venues.
End Customer Data:
When end customers use the Table Order System, we may collect their contact information (such as phone numbers or email addresses) solely for the purpose of sending order-related notifications (e.g., order-ready alerts via WhatsApp or email). This data is processed on behalf of your business and is subject to our Privacy Policy. You are responsible for informing your end customers about the data collection and obtaining any necessary consents as required by applicable data protection laws (including GDPR). You shall not use end customer data collected through the Services for any purpose other than fulfilling and managing orders, including but not limited to unsolicited marketing, profiling, or sharing with third parties. Any misuse of end customer data by you is solely your responsibility, and you agree to indemnify and hold Sciometa harmless from any claims, damages, fines, or liabilities arising from your unauthorized or unlawful use of such data.
Reservation Data:
When end customers make reservations through the Reservation System, we collect their name, contact information, and booking details for the purpose of managing reservations and sending related communications (confirmations, reminders, and cancellations). If cancellation fee collection is enabled via Stripe, payment information is processed by Stripe and subject to Stripe's terms of service. You are responsible for displaying your cancellation policy to end customers.
Loyalty Program Data:
When end customers participate in the Loyalty Program, we collect their phone number, nickname, and transaction history for the purpose of managing stamp collection, reward redemption, and digital wallet pass delivery. You shall not use loyalty customer data for purposes other than operating the loyalty program, including but not limited to selling customer data to third parties or unsolicited marketing unrelated to your business. The indemnification obligations set forth in the End Customer Data section above apply equally to loyalty program data.
Gift Card Data:
When a gift card is sold from your own website through the Services, we process the purchaser's email address and name and, where the purchaser chooses to send the card to someone else, the recipient's name, email address, and any personal gift message, for the purpose of delivering the card, sending the purchase confirmation, and issuing any digital wallet pass. We process this data on your behalf as your processor. When a gift card is sold in person, we do not collect the recipient's contact details at all: the card is shared from the purchaser's own device. The indemnification obligations set out in the End Customer Data section above apply equally to gift card purchaser and recipient data.
Data Security:
We implement appropriate security measures to protect your data. However, you acknowledge that no system is completely secure and that you use the Services at your own risk.
Data Backup:
While we may implement measures to protect and back up data, you are responsible for maintaining independent backups of your data. The Company shall not be liable for any loss or corruption of data except as required by applicable law.
This Section applies if you use the Gift Card Feature. It prevails over any conflicting provision elsewhere in these Terms in respect of gift cards.
You Are the Issuer:
Gift cards created through the Services are issued by you, in your own name, as your own product, and are a direct obligation between you and the holder. They are redeemable only for goods and services supplied by you at your own venues. Sciometa provides only the software that records and administers them. Sciometa is not the issuer, is not a party to the gift card, gives no undertaking to any holder, and assumes no obligation to honour, replace, refund, or pay out any gift card or balance. Amounts received for gift cards are received by you, in your own account, and constitute a liability of your business, not of Sciometa. Sciometa at no point holds, receives, controls, or transmits funds paid for a gift card: where a gift card is sold online, the payment is made directly to your own connected payment account, and we deduct nothing from it. This remains the case if a gift card fee becomes payable under Section 5 — such a fee is invoiced to you as a separate supply of services and is not taken out of the gift card proceeds, however it is calculated.
Your Regulatory and Tax Responsibilities:
You are solely responsible for determining the legal, regulatory, accounting, and tax treatment of the gift cards you issue, and for complying with it. Without limitation, you are responsible for:
Reports, liability figures, VAT treatment indicators, and threshold or other informational warnings provided by the Services are operational aids generated from the data in your account. They are not legal, tax, accounting, or regulatory advice, are not a substitute for professional advice, and are not a representation that your gift card programme is compliant. You remain responsible for reviewing them and for your own filings and declarations.
Consumer Terms and Disclosure:
You set the terms of your gift cards, including their value, validity period, which of your venues they may be used at, and whether you continue to honour them after expiry. You are solely responsible for the lawfulness and fairness of those terms under consumer protection law, and for disclosing them clearly to the purchaser at the time of sale. Where consumer protection law places the burden of proving disclosure on the issuer, that burden is yours. The Services record the terms presented at the point of sale so that you have a record of them; that record is a tool to help you meet your obligation and does not transfer the obligation, or any resulting liability, to Sciometa. You are likewise solely responsible for handling holder complaints, refund requests, and claims relating to expiry, lost cards, or unused balances, and for any decision to honour or decline a gift card.
Gift Cards Are Bearer Instruments:
A gift card code, claim link, or wallet pass is a bearer instrument: anyone able to present it can spend the balance, and the Services do not verify the identity of the person presenting it. You acknowledge this and are responsible for how codes are handled in your venues, including controlling staff access to them. Subject to Section 10, Sciometa is not liable for loss arising from a gift card code, claim link, or wallet pass being lost, copied, shared, intercepted, or used by a person other than the intended holder, nor for your decision to replace or decline to replace a card in those circumstances.
Balance Display and Availability:
A balance shown on a digital wallet pass may lag the actual balance, because wallet providers refresh passes on their own schedule and outside our control. The balance recorded in the Services at the time of redemption is authoritative. Gift card issuance and redemption require connectivity to the Services; Section 9 applies, and you are responsible for your own fallback procedure during any interruption.
Termination and Insolvency:
Gift cards you have issued remain your obligation to their holders irrespective of these Terms. If your account or subscription terminates or is suspended for any reason, or if the Gift Card Feature is discontinued, you remain responsible for honouring or otherwise settling outstanding gift cards and for notifying holders. Before termination takes effect you should export your gift card and balance records; after termination we are under no obligation to retain or provide them beyond the retention practices described in our Privacy Policy and any period required by law. Sciometa does not guarantee, insure, or safeguard outstanding gift card balances, and has no obligation to honour, redeem, or reimburse any gift card in the event of your insolvency, closure, or cessation of business. In such an event, holders' claims lie against your business.
Indemnity:
You agree to indemnify and hold Sciometa harmless from and against any claims, demands, proceedings, damages, fines, penalties, taxes, interest, and costs (including reasonable legal fees) arising out of or relating to the gift cards you issue, including claims by holders or purchasers, claims relating to expiry, non-acceptance, refunds, or unused balances, any regulatory, registration, fiscal, or tax liability of your business, and your failure to disclose or comply with your own gift card terms. This indemnity does not apply to the extent the claim results from Sciometa's willful misconduct or gross negligence, or where such an indemnity is not permitted by applicable law.
The Services, including all software, content, and intellectual property rights, are owned by Sciometa or our licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. This license does not include the right to:
We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access. The Services may be unavailable due to maintenance, updates, or circumstances beyond our control.
Support is provided on a reasonable-efforts basis and does not include guaranteed response times or resolution times unless otherwise agreed in writing under a separate service level agreement (SLA).
We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice when possible.
To the maximum extent permitted by applicable law, Sciometa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Nothing in this section shall exclude or limit the Company's liability for damages resulting from its willful misconduct or gross negligence, where such exclusion or limitation is not permitted by applicable law.
Cap on Liability:
The total liability of the Company for all claims arising from or relating to the Services shall not exceed the total fees paid by the User to the Company for the Service during the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay results from events beyond its reasonable control, including but not limited to natural disasters, fires, floods, earthquakes, power outages, internet or telecommunications failures, governmental actions, labor disputes, pandemics, or acts of war.
You may terminate your account at any time by following the cancellation process in your account settings or by contacting our support team.
We may terminate or suspend your access to the Services immediately if you violate these Terms or if we believe termination is necessary to protect our Services or other users.
Upon termination, your right to use the Services will cease, and we may delete your account and data in accordance with our Privacy Policy and data retention practices.
These Terms are governed by the laws of Finland, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved in the courts of Helsinki, Finland.
Before pursuing legal action, we encourage you to contact us to resolve any disputes informally.
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes through the Services or by email.
Your continued use of the Services after we publish or send notice of changes constitutes your acceptance of the updated Terms.
